Sub: Order of Bombay High Court sanctioning the Scheme of Arrangement & Amalgamation between  the Company, Jindal South West Holdings Ltd., Jindal Vijayanagar Steel Ltd. and their respective members and creditors. 

In compliance with Clause 36(7) of the Listing Agreement, we hereby inform you that the Bombay High Court has sanctioned the Scheme of Arrangement and Amalgamation between Jindal Iron & Steel Co. Ltd., Jindal Vijayanagar Steel Ltd. and Jindal South West Holdings Ltd. at the hearing held on 3rd September 2004.  The authenticated copy of the said Order was received by the Company today. 

The Scheme is now pending sanction of the Karnataka High Court and will become effective upon the orders of the Bombay High Court and Karnataka High Courts being filed with the respective ROCs.
